HarborData Website Terms of Use

1. Acceptance of This Agreement

Welcome to HarborData, LLC (“HarborData,” “we,” “us,” or “our”).

By accessing, browsing, purchasing from, downloading from, or otherwise using any website, platform, product, service, or data file operated by HarborData (collectively, the “Platform”), you agree to be legally bound by these Terms of Service, our Privacy Policy, and our Refund & Dispute Policy (collectively, the “Agreement”).

If you do not agree to this Agreement, you must not use the Platform or purchase any products.

This Agreement applies to all users, including visitors, customers, subscribers, businesses, agents, and representatives.

2. Eligibility & Authority

By using the Platform, you represent and warrant that:

  • You are at least 18 years of age

  • You have the legal capacity to enter into this Agreement

  • If acting on behalf of a business, you are authorized to bind that entity

  • Your use of the Platform complies with all applicable laws

3. Nature of Our Products (Important Disclosure)

HarborData sells digital data products delivered electronically in CSV, Excel, or similar formats.

You acknowledge and agree that:

  • All data is provided for research and informational purposes only

  • Data may be incomplete, outdated, inaccurate, or subject to change

  • We make no guarantees regarding accuracy, completeness, deliverability, or outcomes

  • You are solely responsible for how the data is used and for ensuring legal compliance

Unlawful or non-compliant use is strictly prohibited, including but not limited to violations of TCPA, CAN-SPAM, GDPR, CCPA, or similar regulations.

All use of the data is at your own risk.

4. Digital Delivery & Fulfillment

  • All products are digital goods

  • Delivery is made via electronic download or email

  • Delivery timeframes are estimates only, not guarantees

Typical delivery occurs within 24–48 hours, but delivery may take longer due to processing, sourcing, or technical factors. Reasonable delays do not constitute breach of contract.

5. Inspection Period & Limited Replacement Policy

You are granted a 24-hour inspection period beginning when delivery is completed.

During this period, you may report:

  • File corruption

  • Inability to access the delivered file

If a technical issue is verified, HarborData may, at its sole discretion:

  • Re-send the file, or

  • Provide a replacement dataset

After the 24-hour inspection period:

  • All sales are final

  • No replacements, refunds, or claims will be considered

6. No Refund Policy

Due to the digital, non-returnable, and reproducible nature of our products:

  • All sales are final

  • Refunds and partial refunds are not offered

By completing a purchase, you acknowledge and accept this policy.

7. Payment Disputes & Chargebacks

Customers agree to contact HarborData first to attempt resolution of any billing concerns.

If a payment dispute or chargeback is initiated, HarborData reserves the right to:

  • Contest the dispute using delivery records, logs, and communications

  • Recover any fees, costs, or losses incurred as a result of the dispute

  • Suspend or terminate access to the Platform

Repeated or abusive disputes may result in permanent account termination.

8. Acceptable Use Policy

You may not:

  • Use data for unlawful, deceptive, or non-compliant marketing practices

  • Engage in spam, robocalls, or unsolicited communications that violate applicable law

  • Resell, sublicense, redistribute, or publish the data

  • Reverse-engineer, scrape, duplicate, or extract datasets

  • Share access credentials or files

  • Attempt unauthorized access or introduce malware

Violations may result in immediate termination and legal action.

9. Intellectual Property

All Platform content, datasets, branding, systems, and materials are the exclusive property of HarborData, LLC.

No license is granted except for limited internal or research use consistent with this Agreement.

10. Privacy Policy

Our collection and use of information are governed by our Privacy Policy, which is incorporated by reference into this Agreement.

11. Disclaimer of Warranties

THE PLATFORM AND ALL DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARBORDATA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Accuracy

  • Fitness for a particular purpose

  • Merchantability

  • Non-infringement

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • HarborData shall not be liable for indirect, incidental, consequential, or punitive damages

  • Total liability for any claim shall not exceed $100 USD, regardless of the amount paid

13. Indemnification

You agree to defend, indemnify, and hold harmless HarborData, LLC from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform or data

  • Violations of law

  • Misuse of information

  • Breach of this Agreement

14. Governing Law & Venue

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.

All disputes shall be resolved exclusively in the state or federal courts located in Tampa, Florida.

15. Termination

We may suspend or terminate access to the Platform at any time, with or without notice.

All provisions relating to liability, disputes, indemnification, and payment obligations survive termination.

16. Modifications

We may update this Agreement at any time. Continued use of the Platform constitutes acceptance of the revised terms.
