1. Acceptance of This Agreement

Welcome to HarborData, LLC (“HarborData,” “we,” “us,” or “our”).

By accessing, browsing, purchasing from, downloading from, or otherwise using our website, platform, products, services, or data files located at HarborData.com, HarborData.com, or any related domains, subdomains, or services (collectively, the “Platform”), you explicitly agree to be legally bound by this Terms of Service, Privacy Policy, and Refund / Dispute Policy (the “Agreement”).

If you do not agree, you must not use the Platform or purchase any products.

This Agreement applies to all users, including visitors, customers, subscribers, businesses, agents, and representatives.

2. Eligibility & Authority

You represent and warrant that:

  • You are at least 18 years old

  • You have the legal authority to enter into this Agreement

  • If purchasing on behalf of a company, you are authorized to bind that entity

  • You are not prohibited from using our services under applicable law

3. Nature of Our Products (Critical Disclosure)

HarborData sells digital data products delivered in CSV, Excel, or similar electronic formats.

You acknowledge and agree that:

  • All data is provided for research purposes only

  • Data may be incomplete, outdated, inaccurate, or change over time

  • We do not guarantee accuracy, completeness, deliverability, or results

  • You are solely responsible for how the data is used

  • MARKETING, ADVERTISING, SOLICITATION, OR SPAM USE IS STRICTLY PROHIBITED

You assume all risk associated with the use of the data.

4. Digital Delivery & Fulfillment

  • All products are digital goods

  • Delivery is made via email or electronic download

  • Delivery timeframe is NOT guaranteed

    • Typical delivery: 24–48 hours

    • Delivery may take days, weeks, months, or longer

  • Delays do not constitute breach, refund eligibility, or dispute grounds

5. Inspection Period & Limited Replacement Policy

You are granted a strict 24-hour inspection window starting from the time delivery is completed.

Within 24 hours ONLY:

  • You may report file corruption or technical access issues

  • If validated, we may (at our sole discretion):

    • Re-send the file

    • Provide a replacement dataset

After 24 hours:

  • ALL SALES ARE FINAL

  • No claims, disputes, replacements, or refunds will be considered

6. No Refund Policy (Chargeback Protection Clause)

ALL SALES ARE FINAL. NO REFUNDS. NO EXCEPTIONS.

Due to the digital, non-returnable, and reproducible nature of our products:

  • Refunds are not offered

  • Partial refunds are not offered

  • Chargebacks are strictly prohibited

By completing a purchase, you explicitly waive your right to:

  • File payment disputes

  • File chargebacks

  • Reverse transactions

Unauthorized chargebacks constitute fraud and breach of contract.

7. Chargebacks, Disputes & Collections

If a chargeback, payment dispute, or reversal is initiated:

  • We reserve the right to:

    • Submit this Agreement as evidence

    • Submit delivery records, access logs, and communications

    • Recover the full amount owed

    • Recover additional fees, penalties, and legal costs

  • Accounts may be permanently banned

We may pursue collection and enforcement through:

  • Internal collections

  • External collections

  • Legal counsel

8. Acceptable Use Policy

You may NOT:

  • Use data for marketing, robocalls, spam, or solicitation

  • Violate TCPA, CAN-SPAM, GDPR, CCPA, or similar laws

  • Resell, sublicense, redistribute, or publish the data

  • Attempt to reverse-engineer, scrape, or duplicate datasets

  • Share login credentials or files

  • Introduce malware or attempt unauthorized access

Violations may result in immediate termination and legal action.

9. Intellectual Property

All Platform content, datasets, branding, processes, and materials are the exclusive property of HarborData, LLC.

No license is granted beyond limited personal/internal research use.

  • Fitness for purpose

  • Merchantability

  • Non-infringement

YOU ASSUME ALL RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, consequential, or punitive damages

  • Total liability is STRICTLY LIMITED TO $100

  • This applies even if advised of potential damages

13. Indemnification

You agree to defend, indemnify, and hold harmless HarborData, LLC from any claims arising from:

  • Your use of the data

  • Legal violations

  • Misuse of information

  • Breach of this Agreement

14. Governing Law & Venue

This Agreement is governed by the laws of the State of Florida.

All disputes shall be resolved exclusively in Tampa, Florida courts.

15. Termination

We may terminate access at any time, for any reason, without notice.

All provisions related to liability, disputes, indemnity, and payment survive termination.

16. Modifications

We may update this Agreement at any time.
Continued use constitutes acceptance of changes.
